These Terms of Service ("Terms") govern your use of websites, products, and services provided by Tracking Pro ("we", "us", or "our"), a company established in the United Kingdom. By accessing or using our services, you agree to be bound by these Terms.

We provide software development, consultancy, hosting, and related technology services. Specific scope, deliverables, timelines, and fees are set out in individual statements of work or order forms.

3. Fees and payment

Fees are payable as set out in the relevant order. Unless otherwise stated, fees are exclusive of VAT and other applicable taxes. Late payments may incur interest at the statutory rate under UK law.

4. Intellectual property

We retain ownership of our pre-existing intellectual property, tools, and frameworks. Unless agreed otherwise in writing, upon full payment you receive a licence to use deliverables for your internal business purposes.

5. Confidentiality

Each party will keep confidential information received from the other secure and will not disclose it to third parties except as required to deliver the services or by law.

6. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws (including UK GDPR).

7. Warranties and disclaimers

We will provide services with reasonable skill and care. Except as expressly stated, services are provided "as is" and we disclaim all other warranties to the fullest extent permitted by law.

8. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be limited by law. Subject to the foregoing, we exclude indirect or consequential losses and cap our total liability to the fees paid for the services giving rise to the claim in the 12 months preceding the claim.

9. Termination

Either party may terminate for material breach not remedied within 30 days of notice. On termination, you will pay for services delivered up to the termination date.

10. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

11. Changes

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
